1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of the Visibelle Digital website at visibelledigital.com ("Website") and any services provided by Visibelle Digital Ltd ("Company", "we", "us", "our").
Visibelle Digital Ltd is a company registered in England and Wales (Company No. 17088508), with its registered office at 128 City Road, London, EC1V 2NX.
By accessing our Website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or engage our services.
2. Services
Visibelle Digital provides B2B digital marketing services including but not limited to:
- B2B SEO strategy and implementation
- Brand identity design and strategy
- Website design and development
- The integrated Launch System programme
- Digital marketing consultancy
The specific scope, deliverables, timeline and pricing of any engagement are defined in a written proposal or service agreement issued to the client prior to commencement.
3. Engagement and Proposals
All engagements commence upon written acceptance of a formal proposal or service agreement. No work will begin until both parties have agreed to scope and terms in writing and an initial payment has been received where applicable.
Proposals are valid for 30 days from the date of issue. We reserve the right to revise pricing or availability after this period.
We reserve the right to decline any engagement at our sole discretion. An enquiry, discovery call or proposal does not constitute an obligation to enter into a contract.
Client responsibilities
Clients are responsible for providing accurate information, timely feedback and all necessary access (including but not limited to domain access, CMS credentials, brand assets and third-party platform access) required for delivery. Delays caused by late client responses may affect agreed delivery timelines. We are not liable for project delays resulting from client-side delays.
4. Payment Terms
Unless otherwise agreed in writing:
- Monthly retainers are invoiced in advance at the start of each month
- Project-based work is invoiced in agreed instalments (typically 50% upfront, 50% on completion)
- The Launch System is invoiced monthly (£7,000 excl. VAT per month for 3 months)
- All prices are quoted exclusive of VAT unless stated otherwise
Payment is due within 14 days of invoice date. Late payments will incur interest at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts (Interest) Act 1998.
We reserve the right to suspend services on accounts more than 14 days overdue without notice.
5. Intellectual Property
Client ownership upon payment
Upon receipt of full payment for a project, all final deliverables (including design files, website code and brand assets) created specifically for the client are assigned to the client. Visibelle Digital retains the right to display completed work in its portfolio unless explicitly agreed otherwise.
Third-party assets
Any third-party assets used (stock photography, fonts, plugins) are subject to their respective licences. The client is responsible for ensuring ongoing licence compliance for any third-party components included in deliverables.
Visibelle Digital IP
All methodologies, processes, templates, frameworks and proprietary tools used or developed by Visibelle Digital remain the property of Visibelle Digital Ltd at all times. Delivery of a project does not convey rights to any such underlying IP.
Website content
All content on the visibelledigital.com website — including text, graphics, logos and methodology documentation — is the property of Visibelle Digital Ltd and is protected by copyright law. Reproduction without express written permission is prohibited.
6. Confidentiality
Both parties agree to keep confidential all information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulation.
Confidentiality obligations shall survive termination of any service agreement by 3 years.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Visibelle Digital Ltd shall not be liable for:
- Any indirect, consequential, incidental, special or punitive damages
- Loss of revenue, profits, business, data or goodwill
- Damages arising from reliance on information provided on our website
- Interruption or unavailability of third-party platforms or services
Our total aggregate liability in connection with any engagement or this website shall not exceed the total fees paid by the client in the 12 months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
8. Warranties and Representations
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. We do not warrant or guarantee specific commercial outcomes, search engine rankings, traffic volumes, conversion rates or revenue results from our services.
SEO, branding and website performance are subject to many factors outside our control including search engine algorithm changes, market conditions, client-side implementation and third-party platform behaviour. Past results described on our website are for illustrative purposes and are not guarantees of future performance.
Important: All case study results and metrics referenced on our website reflect real client outcomes but are not guarantees of results for any individual engagement.
9. Termination
Retainer engagements
Monthly retainer agreements may be terminated by either party on 30 days' written notice after the agreed minimum term has been completed. The Launch System has a fixed 3-month term and is not subject to early termination.
Project-based engagements
Either party may terminate a project engagement in writing. In the event of client-initiated termination, fees for all work completed to date are due immediately. Where we have incurred third-party costs on the client's behalf, these are also due.
Termination for cause
We reserve the right to terminate any engagement immediately in the event of: non-payment, material breach of these Terms, conduct that is harmful to our business or team, or requests to undertake work that conflicts with our values or applicable law.
10. Website Use
The information provided on visibelledigital.com is for general informational purposes only. While we take care to keep information accurate and up to date, we make no warranties as to the completeness or accuracy of website content.
You agree not to use our website in any way that is unlawful, harmful or fraudulent, or that interferes with its operation. We reserve the right to restrict access to our website at any time without notice.
Links to third-party websites are provided for convenience only. We have no control over and accept no responsibility for the content of third-party sites.
11. Governing Law
These Terms and any disputes arising from them or from our services shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
